1. Acceptance of Terms

By accessing or using any services provided by MindMatrix Limited ('MindMatrix', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and others who access or use our services.

2. Description of Services

MindMatrix provides enterprise software solutions for healthcare, legal, tourism, and enterprise management sectors. Our services include proprietary software platforms, technical support, implementation services, and related consulting. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts

To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. MindMatrix reserves the right to suspend or terminate accounts that violate these terms.

4. Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and trademarks, are the exclusive property of MindMatrix Limited and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

5. Data Ownership and Processing

You retain all rights to your data. MindMatrix processes your data solely to provide and improve our services. We act as a data processor on your behalf and will not use your data for any purpose other than as outlined in our Privacy Policy and any applicable data processing agreement. You are responsible for ensuring that your use of our services complies with all applicable data protection laws.

6. Service Level Agreement

MindMatrix commits to maintaining 99.9% uptime for all production services. In the event of service disruptions, we will provide timely communication and work to restore services as quickly as possible. Specific SLA terms, including compensation for downtime, are outlined in individual customer agreements.

7. Limitation of Liability

To the maximum extent permitted by law, MindMatrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services. Our total liability shall not exceed the amount paid by you for the services in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless MindMatrix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of our services, your violation of these terms, or your violation of any rights of a third party.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
